Board

The highest governing body of the Organization is the Board. Each Intersputnik member-country has its representative on the Board. Each representative has one vote regardless of the country’s share in the Share Capital. Representatives have equal rights. Sessions of the Board are held at least once a year.

The Board seeks to make decisions unanimously.

If this is not achieved, decisions of the Board are deemed to have been approved if voted for by at least two thirds of the attending and voting Intersputnik Members. Approved decisions are binding on all members of the Organization.

The Board is competent to:

Make decisions on the Organization’s general policy and long-term goals

Ensure that the Organization’s activity complies with the purposes and principles of the UN Charter

Review reports of the Chairperson of the Operations Committee and the Director General

Make decisions following recommendations of the Operations Committee

The Operations Committee is responsible for prompt consideration and decision-making with regard to the Organization’s activity.

Members of the Operations Committee are 25 national Intersputnik Signatories. Decisions of the Operations Committee are approved by a simple or qualified majority depending on the subject at issue.

Shapes Intersputnik’s technical policy

Approves Intersputnik’s financial policy

Fixes the amount of the Share Capital

Reviews reports of the Director General

Audit Committee

Intersputnik’s finances and business are controlled by an independent international Audit Committee consisting of representatives of the Organization’s member-countries elected by the Operations Committee for a term of three years.

In 1982 did an internship at the international satellite telecommunications testing facility in Dubna, in 1991 at the Telecommunications Institute in Washington, D.C., in 1992 with Scientific Atlanta Inc. In 1993 took a course in mobile satellite systems as part of a professional training program at Inmarsat, London.

Mr. Hans-Joachim Schemel

Member of the Audit Committee

On September 1, 1989 Mr. Schemel started working the International Legal Department at the Ministry of Posts and Telecommunications, and after October 3, 1990 he was employed at the Department for the Development of Core Infrastructure, Budgeting and International Satellite Telecommunications Policy of the Federal Ministry of Posts and Telecommunications of the FRG.

Mrs. Le Thi Hien

Member of the Audit Committee

Since 2008 — Head of International Settlements at VNPT-I: crediting and processing of payments for telecommunications services; data analysis; data cleaning and preparation for calculations and analysis; presentation of analytic results in monthly, quarterly and annual reports; drafting of special reports on the status of settlements between VNPT-I and international telecommunications service providers.
