Board and Operations Committee
BOARD
Intersputnik’s highest governing body is the Board. Each Intersputnik member country has its Representative on the Board, and each Representative has one vote regardless of the amount of the country’s investment in the Share Capital. All Representatives have equal rights. Sessions of the Board are held at least once a year.
Generally, the Board reviews and makes decisions on key issues affecting Intersputnik’s long-term goals, general policy and business prospects.
The Board’s terms of reference cover the following:
- discussion of Intersputnik’s general policy and long-term goals;
- making sure that Intersputnik’s business is compatible with the principles and goals of the UN Charter;
- decision-making based on recommendations of the Operations Committee;
- review of reports of the Operations Committee and the Director General.
The Board seeks unanimity in making its decisions. If this is not achieved, decisions are deemed approved if voted for by at least tow thirds of the attending and voting Members of Intersputnik. Such decisions are binding on all Members of Intersputnik.
OPERATIONS COMMITTEE
The Operations Committee reviews and in a speedy fashion makes decisions on matters related to Intersputnik’s activity.
Members of the Operations Committee are seventeen Signatories with the largest investments in the Share Capital and Signatories elected on the basis of fair geographic distribution.
The Operations Committee uses the procedure of weighted voting depending on the investment share of each Signatory.
The initial membership of the Operations Committee is announced by the Intersputnik Board based on the information provided by the Members of Intersputnik. After that, the membership is defined according to the rules of procedure approved by the Operations Committee.
The Operations Committee:
- defines Intersputnik’s technological policy;
- approved Intersputnik’s financial policy;
- defines the amount of the Share Capital;
- approves the structure and staff table of the Directorate;
- reviews reports of the Director General.
